These Terms of Use (“Terms”) govern your access to and use of SOWGen, an AI-powered Statement of Work (SOW) generation assistant developed by Optimus Information Inc., accessible via Microsoft Teams. By using SOWGen, you agree to these Terms. If you do not agree, do not use the service.

  1. Acceptance of Terms

By accessing or using SOWGen, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you are using SOWGen on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

  1. Description of Service

SOWGen is an AI-powered platform that helps teams automate and streamline the creation of Statements of Work through Microsoft Teams.

The service includes the following capabilities:

  • Secure upload and parsing of client documents (briefs, transcripts, proposals, etc.)
  • Automated extraction of project scope, timelines, pricing, and deliverables
  • Conversational drafting and editing of SOWs using AI assistance
  • Application of branded SOW templates stored in SharePoint
  • Real-time feedback and regeneration of content through chat
  • Export of approved, ready-to-send Word (.docx) documents

The features of SOWGen may evolve as the product is enhanced, and some capabilities may be added, updated, or deprecated over time.

  1. License and Access

Subject to your compliance with these Terms, Optimus grants you a limited, non-exclusive, non-transferable, and revocable license to access and use SOWGen for internal, non-commercial, and authorized business purposes.

You may not:

  • Reverse-engineer, decompile, or extract the source code or AI prompt logic
  • Use SOWGen in ways that violate applicable laws, regulations, or organizational policies
  • Copy, modify, or redistribute any part of SOWGen without prior written consent from Optimus Information Inc.
  1. User Responsibilities

You agree that you are responsible for:

  • All activities conducted under your Microsoft Teams account when using SOWGen
  • Uploading only accurate, lawful, and non-confidential client materials
  • Ensuring compliance with your organization’s data management and IT security policies
  • Using the tool solely for generating Statements of Work and related business documents

Your use of SOWGen is also subject to Microsoft’s terms of use for Teams, SharePoint, and associated Microsoft 365 services.

  1. Privacy

Your use of SOWGen is governed by our Privacy Policy.
All documents and user data are processed and stored within your organization’s Microsoft 365 tenant, including Microsoft Teams and SharePoint, unless otherwise agreed in writing.

Optimus Information does not sell, rent, or share your personal or organizational data with third parties.

  1. Intellectual Property

All components of SOWGen, including prompts, orchestration logic, multi-agent configurations, software code, and user interfaces—are the exclusive intellectual property of Optimus Information Inc.

All rights are reserved unless explicitly granted under these Terms.

  1. Feedback

If you submit feedback, suggestions, or ideas related to SOWGen, you grant Optimus a royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into the product without obligation or compensation.

  1. Termination

Optimus may suspend or terminate your access to SOWGen at any time if:

  • You violate these Terms,
  • You pose a security or compliance risk, or
  • The service is discontinued or modified.

Upon termination, your right to use the service ends immediately.

  1. Disclaimer of Warranties

SOWGen is provided “as is” and “as available.”
While we strive for reliability and accuracy, Optimus does not guarantee uninterrupted operation, error-free performance, or that all generated content will be legally or contractually sufficient.

Users are responsible for reviewing and validating all generated SOWs before client use or submission.

  1. Limitation of Liability

To the fullest extent permitted by law, Optimus Information Inc. shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to the use or inability to use SOWGen, even if advised of the possibility of such damages.

  1. Modifications to Terms

We may update these Terms periodically.
If significant changes occur, users will be notified through Microsoft Teams or email. Continued use of SOWGen following such notice constitutes acceptance of the updated Terms.

  1. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada, and applicable federal laws.
