These Terms of Use (“Terms”) govern your access to and use of LP Query Agent, an AI-powered Limited Partner (LP) insights assistant developed by Optimus Information Inc. By using LP Query Agent, you agree to these Terms. If you do not agree, do not use the service. 

  1. Acceptance of Terms

By accessing or using LP Query Agent, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. 

If you are using LP Query Agent on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

  1. Description of Service

LP Query Agent is an AI-powered assistant that helps Limited Partners (LPs) quickly extract insights from fund-related documents, including summaries, key performance metrics, company highlights, and dashboards. 

The service includes the following capabilities: 

  • Secure upload and indexing of LP documents (financial reports, fund summaries, portfolio updates, etc.) 
  • AI-driven extraction of fund metrics such as IRR, DPI, and TVPI 
  • Generation of portfolio summaries and company-level highlights 
  • Visualization of fund performance through Power BI dashboards 
  • Real-time conversational assistance for querying and refining insights 

The features of LP Query Agent may evolve as the product is enhanced, and some capabilities may be added, updated, or deprecated over time. 

  1. License and Access

Subject to your compliance with these Terms, Optimus grants you a limited, non-exclusive, non-transferable, and revocable license to access and use LP Query Agent for internal, non-commercial, and authorized business purposes. 

You may not: 

  • Reverse-engineer, decompile, or extract the source code, prompt logic, or analytics models. 
  • Use LP Query Agent in ways that violate applicable laws, regulations, or organizational policies. 
  • Copy, modify, or redistribute any part of LP Query Agent without prior written consent from Optimus Information Inc. 
  1. User Responsibilities

You agree that you are responsible for: 

  • Uploading only accurate, lawful, and organization-approved financial materials. 
  • Ensuring compliance with your organization’s data management, compliance, and IT security policies. 
  • Using the tool solely for querying and analyzing Limited Partner fund data and related financial insights. 

Privacy

Your use of LP Query Agent is governed by our Privacy Policy. 

All documents are processed and stored within your sharepoint/google/dropbox, unless otherwise agreed in writing. And the database is maintained withing Optimus Azure Database. 

Optimus Information does not sell, rent, or share your personal or organizational data with third parties. 

  1. Intellectual Property

All components of LP Query Agent, including prompts, orchestration logic, analytics configurations, software code, and user interfaces, are the exclusive intellectual property of Optimus Information Inc. 

All rights are reserved unless explicitly granted under these Terms. 

  1. Feedback

If you submit feedback, suggestions, or ideas related to LP Query Agent, you grant Optimus a royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into the product without obligation or compensation. 

  1. Termination

Optimus may suspend or terminate your access to LP Query Agent at any time if: 

  • You violate these Terms, 
  • You pose a security or compliance risk, or 
  • The service is discontinued or modified. 

Upon termination, your right to use the service ends immediately.

  1. Disclaimer of Warranties

LP Query Agent is provided “as is” and “as available.” 

While we strive for reliability and accuracy, Optimus does not guarantee uninterrupted operation, error-free performance, or that all generated insights will be complete or financially sufficient. 

Users are responsible for reviewing and validating all analytical outputs before relying on them for investment or reporting purposes.

  1. Limitation of Liability

To the fullest extent permitted by law, Optimus Information Inc. shall not be liable for any indirect, incidental, consequential, or special damages arising from or related to the use or inability to use LP Query Agent, even if advised of the possibility of such damages.

  1. Modifications to Terms

We may update these Terms periodically. 

If significant changes occur, users will be notified through Microsoft Teams or email. Continued use of LP Query Agent following such notice constitutes acceptance of the updated Terms.

  1. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada, and applicable federal laws.
